Virbhumi mobile application (the “Platform”) is operated by Dyumn Tech Pvt Ltd (hereinafter referred to as “Virbhumi”, “Company”, “We”, “Us”, “Our”) which offers an online hybrid casual strategy game (“Virbhumi Game”) and enables a person playing the Virbhumi Game (hereinafter referred to as “User, “You”, “Your”) to play it by using digital Cards.

These Terms is an electronic record as per the Information Technology Act, 2000 (“IT Act”) and rules as applicable, and the amended provisions pertaining to electronic records in various statutes, as amended by the IT Act. This electronic record is generated by a computer system and does not require any physical or digital signatures. By using Our Platform, and/or making a Service Request with Us, You agree to be bound by the these Terms, including those additional terms and conditions and policies referenced herein. We offer this Platform, including all information, tools and services available on this Platform, to You, conditioned upon Your acceptance of all terms, conditions, policies and notices stated herein.

These Terms of Service (hereinafter referred to as “Terms”) provide for the terms and conditions by which We offer you to access to use and enjoy our Platform and other services (hereinafter referred to as the “Services”).

Virbhumi urges User to read and understand these Terms carefully for the details on the way We will provide Services. You consent to be bound and abide by these Terms by: (i) installing or otherwise accessing Our Platform; (ii) participating in the Virbhumi Game; and/ or (iii) using any other Services provided via the Platform. If the User does not wish to agree to the Terms so provided and Privacy Policy, may kindly not install application. The User is required to review and understand these Terms, Privacy Policy any other rules and regulations imposed by the applicable law from time to time before providing consent. .

  1. KEY DEFINITIONS USED IN THESE TERMS:

    • "Battle” shall mean simulated confrontation or combat encounter between different Users, bot, characters, or entities within Virbhumi’s virtual environment.
    • “Cards” means the virtual digital cards associated with certain pre-defined stats, powers, and/or abilities which can be used in playing Virbhumi Game
    • “Pack” means a collection of cards; Cards will be revealed at runtime by our algorithm
    • "Box(es)" means collection of Packs.
    • "Green Ticket" means a ticket which Users earn as one of rewards on opening a Reward Chest
    • "Privacy Policy" means Our Privacy Policy available at [https://www.virbhumi.com/privacy-policy].
    • "Rarity" shall mean how likely a certain card is to be found in a Pack or Reward chest. Rarity of a card determines the number of copies of that card to be combined to level up to reach its maximum potential
    • "Rewards” means the Game Content, benefits, or privileges including reward chest that players can earn or receive on winning a Battle in Virbhumi Game. In rewards, Users may get Game Content or a reward chest which may include Green Tickets, contents of which will be revealed after opening the chest. These rewards are be decided at runtime by our algorithm.
    • "Tournament Prize(s)" means Rewards, cash prizes, vouchers of Our third-party partner websites (which may be subject to terms and conditions of relevant third-party partner(s) website) or such other asset as the Company may decide from time to time in relation to Tournament to be awarded to the Tournament Winner.
    • "User Guide/ Frequently Asked Questions (“FAQs”)” means a comprehensive document or set of instructions designed to assist Users in understanding and navigating the various features, mechanics, procedures and rules of the Virbhumi Game available on the Platform.

  2. USER ELIGIBILITY

    • Users are natural persons that have full capacity to avail the Services and access the Platform and are able to assume legal responsibilities independently.
    • You cannot access this Platform if you are below 13 (thirteen) years of age.
    • If You are under the age of 18 (eighteen) years, You must have Your parent or legal guardian’s permission to use avail the Services. Please have Your parent or legal guardian read these Terms with You. You represent that Your legal guardian has reviewed and agreed to these Terms. If You are a parent or legal guardian, and You allow Your child to avail the Services, then these Terms apply to You and You are responsible for your child’s activity in relation to the Services.

  3. USER REGISTRATION

    • In order to use the Services, You must register for and maintain a User account (“Account”).
    • You can create an Account on the Platform by providing Your Team name and email Id (through OTP verification) (“User Information”). Once Account is created You can set Your Account password.
    • You may use a third-party account of Google, Facebook, or Apple, or such other third-party account, as may be intimated to You from time to time (“Third Party Account”) to access features and functions of the Services. You acknowledge and agree that We have no obligations related to your Third Party Account, and all matters relating to Your Third Party Account shall be resolved exclusively by You and the relevant third party.
    • You agree that You are solely responsible to Us and to others for Your access and use of the Services and the activity that occurs under your Account.
    • User Information shared for Registration must be accurate, current, and complete, and should be kept up-to-date, and the same will be governed by the Virbhumi’s Privacy Policy. We can deny registration if it is found that the information provided is not accurate or the location provided does not fall within the borders of India.
    • We reserve the right to deny User registration with or without attributing any specific reason to the same.
    • We will send any important information relating to Your account to You, using the contact information You provide (including account security and privacy notices). You can check and update some of the information that You have provided to Us at any time via the Platform.
    • You shall keep the Account credentials confidential and do not disclose it to any third party.

  4. The Platform

    • The Platform must be used through a mobile device.
    • Subject to the obligations and restrictions under these Terms, You may use the Platform for the following:
      • - To create Account;
      • - To access the details of the Virbhumi Game;
      • - To participate in the Virbhumi Game
      • - To purchase the Game Content (together “Use of Platform”)
    • User Interaction: Users can interact on the Platform in following manner:
      • By sending Battle request to other Users challenging him/her for Battle with a predefined message
      • Users cannot socially post their own messages on the Platform. Users cannot upload any media or links on the Platform for sharing.
    • The Platform is currently operating in a beta version, and may contain bugs, errors and other problems Therefore, to the extent permitted by applicable law, Virbhumi disclaims any warranty, condition and/or liability obligations to Users of any kind with respect to the Platform. User further acknowledges the importance of communication between Virbhumi and User during User's use of the Platform and hereby agrees to receive related correspondence and updates from Virbhumi.

  5. THE VIRBHUMI GAME

    • Game Content
      • We will initially be providing Users Boxes, Pack of Cards and Rewards that can be used while playing Virbhumi Game ("Game Content")
      • Each Card that is provided to the User shall have predefined stats and / or abilities which can be used in a Battle.
      • The Cards and their respective probabilities of Users getting them is roughly as follows:

      • The Users will be receiving Rewards on winning the Battle or performing certain tasks on the Platform.
    • Further purchase of Game Content
      • During your use of the Service, Users may acquire Game Content by purchasing Boxes with real-world currency.
      • We offer Box/Boxes to the Users to purchase on Our Platform at a price determined by Us. Such price is determined solely by Us depending on the total number of Packs/ Cards available under the Box and Rarity of Cards in such Packs. We reserve the right to change the pricing of any paid Game Content from time to time as we may determine in our sole discretion. Any change will not affect Game Content you have already purchased at the time the change comes into effect.
      • Each Box contains five Packs, and each Pack will contain either three or five Cards. Each Pack will contain at least one Card of Rajat Rarity.
      • The details of Box and Packs including the name, Rarity, total number of Cards in the Box/Boxes will be displayed on the Platform
      • There is no limitation on the number of Boxes that Users can purchase.
      • If You wish to purchase any paid Game Content, You will have to make a purchase through Our Platform and to complete such transaction we will direct You to Apple App Store or the Google Play store (“In-App Purchase”). You agree to provide accurate and complete payment information to Apple or Google. You further agree to pay all fees and taxes incurred by your Account.
      • You understand and agree that by buying these Game Content You buy certain license and rights in the Game Content to be effectively used on the Platform, all other proprietary rights in the artwork of the assets will remain with Virbhumi in perpetuity (Please see Paragraph 14.2 below).
    • Procedure for Battles
      • After creation of the Account on the Platform, the User can participate in the Virbhumi Game by asking for Battle. The Battle can be against the bot or other Users as per Our discretion, about which Users will duly be informed.
      • Users can create a team of maximum 6 cards depending on the conditions defined for each Battle.
      • A User will face-off against another Users or bot in every Battle by using their Cards.
      • While playing Battles when the stamina of a Card becomes zero it shall retire from the Battle.
      • A User is declared as a winner when the opponent User has no Cards left in the Battle.
      • Whoever wins the Battle will get some Rewards.
      • Before participating in a Battle, the Users should review the detailed rules of Battle as provided under User Guide/ FAQs.
    • Tournaments
      • Virbhumi may organize/ operate series of contests between the Users for a prize on a periodical basis on its Platform for the purpose of engaging its Users in a competition with each other (“Tournament(s)”). Each Tournament will be for a particular duration (“Tournament Duration”) which will be informed to the Users while participating in the Tournament. All the tournaments conducted on the Virbhumi platform are games of skill and does not require any cash payment as entry fee and the entry will be as per the criteria specified under Paragraph 5.4(d) below.
      • The Tournaments are governed by these Terms and the Tournament specific rules provided under the User Guide in combination with the terms and conditions applicable for each Tournament, if any. If the terms and conditions applicable for each Tournament are in conflict with these Terms, these Terms shall prevail.
      • By joining a Tournament and confirming that You will participate, You expressly confirm that You have read and understood the nature of the Tournament and the terms under which You will participate in the Tournament.
      • Eligibility to participate in Tournaments

        You can participate in the Tournaments if the following is fulfilled:

        • You have registered on the Platform and have an Account;
        • You have a specific number of Green Tickets, or any other Game Content as required by the rules of a Tournament communicated on the Platform from time to time.

      • Results of the Tournament

        Across the Tournament Duration, a User will engage in several Battles between the Users and for each Battle there can be three outcomes viz. (a) A User may win the Battle against the opponent User (“Win” or “Winner”), (b) User may lose the Battle against the opponent User (“Loss”) or (c) both the competing Users have earned equal point and there is a tie (“Battle Tie”).
      • The winner of the Tournament (“Tournament Winner”) will be decided in following manner:
        • The User who Wins the highest number of Battles will be declared as the Tournament Winner.
        • In case several Users have won same number of Battles (“Tournament Tie”), the Tournament Winner will be determined in the following manner:
          • User who Loses less number of Battles will be declared as the Tournament Winner.
          • If there are more than one Users having similar number of Loss Battles, the User who has entered first in the Tournament will be declared Tournament Winner.
      • The results of the Tournament will be determined with actual game and server data as well as by Virbhumi in accordance with the rules of the Tournament. The information in relation to the Battles shall be displayed on the leaderboard wherein You can view information about Your Battles as well the Battles of all the other Users who have joined the Tournaments. The determinations are final and cannot be appealed. By registering and/or participating in any Tournament, You agree to be bound by these determinations. You hereby hold the Company harmless, and the Company hereby disclaims, to the fullest extent permitted by laws, any liability arising out of any such decision.
      • The Tournament Winner will be eligible to receive a Tournament Prize, subject to the terms and conditions of a specific Tournament.
      • All taxes due in connection with any Tournament Prize awarded are sole liability and responsibility of the Users.

  6. Charges and Payments

    The Services are available free of charge for the participating in the Virbhumi Game other than in relation to the Game Content that Users might purchase. However, We reserve the right to charge fees at any point in time at Our discretion upon prior intimation to the Users.

  7. Termination

    • These Terms are effective unless and until terminated by the User or by Us. Suspension of Services and Termination by Company: The Company may suspend or terminate access to the User’s Account for availing Services if:
      • there is unauthorized access to the User’s Account;
      • there is a violation of these Terms;
      • the User’s use of the Platform and/or Services is in violation of applicable laws or regulations;
      • the User’s use of the Platform and/or Services poses a risk to the Platform or other Users of the Platform and/or Services.
      • such other reason as the Company may determine at its discretion.
    • If the reason for the suspension continues for a period of 15 (fifteen) days, the Company may proceed, at its sole discretion, to terminate the User’s access to the Platform and/or Services, without prejudice to other remedies that may be available under these Terms or applicable laws.
      • You may terminate these Terms at any time by canceling your Account on the Platform and discontinuing your access to and use of the Platform.
      • These Terms may automatically be terminated when the Users completely and permanently cease to use the Services for a continuous period of 12 (twelve) months.
      • Upon termination of these Terms the Users shall cease to hold any right in any of the Game Content.

  8. REFUNDS

    • Gaming Content once purchased from Platform cannot be returned and/or refunded under any circumstances.
    • You will not receive any refunds if You terminate Your User Account.
    • Sale of Assets are final and Virbhumi shall not provide a refund unless otherwise required by applicable laws.
    • Users making In-App Purchases will be subject to the applicable payment policy of Apple App Store or Google Play Store. Virbhumi shall not be obligated to assist the User with the refund application to Apple App Store or Google Play Store.

  9. Use of the Platform and/or Services

    In connection with the User’s use of the Platform and/or Service, the User will not:
    • use the Platform and/or Services in any manner that could damage, disable, overburden, or impair the Platform and/or Services;
    • Utilize the Services for uploading/transmitting content which is illegal or objectionable in any manner;
    • engage in any transaction in an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force;
    • make the Platform and/or Services available to anyone other than authorized Users;
    • sell, resell, rent or lease the Services unless explicitly permitted in writing;
    • use the Platform and/or Services to store or transmit malicious code;
    • create derivative works based on the Platform and/or Services unless the User have been explicitly authorized by us;
    • willfully tamper with the security of the Platform and/or Service or tamper with the User’s Registration under this Platform;
    • access data on the Platform and/or Service not intended for the User;
    • reverse engineer the Platform and/or Services or access the Services in order to: (i) build a competitive product or service, or (ii) copy any features, functions or graphics of the Platform and/or Services;
    • post or transmit any content that is abusive, obscene, sexually oriented or against national interest. We reserve the right to suspend Your account if any prohibitive or objectionable content is found and may further initiate appropriate legal proceedings against You;
    • use the Services for any purpose or in any manner that is unlawful under applicable laws or prohibited by under these Terms;
    • use any false e-mail address, impersonate any person or entity, or otherwise mislead Us by sharing multiple addresses and phone numbers or transacting with mala fide intentions;
    • use any "deep-link", "page-scrape", "robot", "spider" or other automatic devices, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform, or in any way reproduce or circumvent the navigational structure or presentation of the Platform, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Platform. We reserve Our right to bar any such activity;
    • attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform or to any server, computer, network, or to any of the Services offered on or through the Platform, by hacking, password "mining" or any other illegitimate means.
    The User shall at all times ensure full compliance with the provisions of applicable law including but not limited to the IT Act.

  10. DISCLAIMERS

    • The Platform provides Users an electronic web-based platform which can be used as per these Terms. In this regard, the Company does not guarantee, represent or warrant You that:
      • Your use of Our Service will be uninterrupted, timely, secure or error-free.
      • uninterrupted Service for indefinite periods of time or cancel of the Service at any time, without notice to You.
      • conformity with the conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
      • the quality of Service obtained through the use of the Services.
      • any disclosure of information concerning the User's Account and/or particulars nor for any error and/or omissions and/or inaccuracy with regard to information so disclosed. In addition, the Company shall further not be liable for any loss or damages sustained by reason of such disclosure, whether intentionally or inadvertently.
      • any responsibility for any product or service advertised or offered by a third party through the Platform or any hyperlinked website or featured in any banner or other advertising.
    • The User understands and agrees that User participates in Virbhumi Game at User's own discretion and risk and that User shall be solely responsible for any damage/s or/and cost or/and any other consequence/s resulting from the Services.
    • If You reside in the States of Nagaland, Sikkim, Telangana, or Andhra Pradesh, it is advised that You do not use the Services provided by this Platform to participate in the Tournaments owing to certain legal, regulatory, or operational considerations.
    • The Virbhumi Game is a skill-based game that requires strategy, decision-making, judgment and skill to play and win and not the game of chance. It is intended for entertainment purposes only and does not involve gambling in any form. We do not offer, facilitate, or promote any form of gambling or betting on the Platform. The outcome of the Battles and Tournaments offered are directly related to the number of participants and the skill level of each participant. Virbhumi does not comment and makes no representations about Your or any other User's chances of winning or losing.
    • The Virbhumi Game is not online real money game involving depositing money for entering into a contest/battle or game with an intent of winning money or money’s worth.
    • We recognize the importance of responsible gaming practices. We encourage all Users to play responsibly and to exercise self-control and moderation when using the Platform.
    • The Company does not have any role in developing the User Information displayed on the Platform, if any. Company has no control over User Information as and Company is merely an intermediary under the IT Act for the purposes of these Terms.
    • THE PLATFORM AND SERVICES, AND ALL MATERIALS, INFORMATION, SERVICES INCLUDED IN THE PLATFORM AND SERVICES ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. COMPANY AND ITS LICENSORS EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. COMPANY AND ITS LICENSORS DISCLAIM ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE PLATFORM AND SERVICES. COMPANY DISCLAIM ANY WARRANTIES FOR ANY SERVICE OBTAINED THROUGH THE PLATFORM.COMPANY AND ITS LICENSORS DISCLAIM ANY WARRANTIES FOR SERVICES OR ADVERTISED ON THE PLATFORM AND SERVICES OR RECEIVED THROUGH ANY LINKS PROVIDED BY THE PLATFORM, AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH ANY LINKS PROVIDED IN THE PLATFORM.
    • THE RISK OF USING THE SERVICES AND EXTERNAL SITES RESTS ENTIRELY WITH YOU AS DOES THE RISK OF INJURY FROM THE SERVICES AND EXTERNAL SITES. THE USER UNDERSTANDS AND AGREES THAT THE USER’S USES THE PLATFORM AND SERVICES AT HIS/HER OWN DISCRETION AND RISK AND THAT THE USER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO THE USER’S COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY MATERIAL OR DATA.
    • SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO THE USER. THE USER MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE AND JURISDICTION TO JURISDICTION.

  11. LIMITED LICENSE

    • We grant to You a non - exclusive, fully revocable, and limited right license to use and enjoy Our Services for Your individual entertainment purposes only and expressly conditioned upon your compliance with these Terms (“License”).
    • If Your Account is terminated by Us due to any reason then such licenses so granted hereunder in this Paragraph 11 shall stand terminated and any of Your rights over the Game Content ends immediately.
    • All the rights that are not specifically granted under this License are hereby reserved by Virbhumi and, as applicable, by its third party licensor.
    • The License does not provide You with any kind of title or ownership in the Platform and should not be construed as a sale or transfer of any intellectual property or other rights related to Platform.
    • License shall terminate automatically if you fail to comply with these Terms as provided hereunder.

  12. CONTENTS POSTED ON THE Platform

    • The User agrees to grant Virbhumi a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, database rights or any other rights the User has in his/her User Information, in any media now known or not currently known, with respect to his/her User Information, the User supplies the Company, so that the Company is not violating any rights the User might have in User Information, while rendering the Services. The Company shall be entitled to, use the User Information or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include the User, provided any personally identifiable information will be used consistent with Our Privacy Policy. The User agrees that any content he/she post may be used by Us, consistent with Our Privacy Policy and these Terms, and the User is not entitled to any payment or other compensation for such use.
    • The Company reserve the right, but have no obligation, to monitor, store or review, the User Information posted on the Platform.
    • Company shall have the right to remove or edit any content that in its sole discretion violates, or is alleged to violate, any applicable law or the spirit or letter of these Terms.
    • Notwithstanding anything contained herein, THE USER REMAIN SOLELY RESPONSIBLE FOR THE CONTENT OF THE USER INFORMATION YOU POST ON THE Platform.
    • Company disclaims any responsibility for any harm resulting from downloading or accessing any information or material on the internet through the Platform.

  13. Indemnity and Limitation of Liability

    • You shall indemnify and hold harmless the Company, its owner, licensee, affiliates, subsidiaries, group companies (as applicable) and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of Your breach of this Terms of Use, Privacy Policy and other Policies, or Your violation of any law, rules or regulations or the rights (including infringement of Intellectual Property rights) of a third party.
    • IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS OR ANY OF ITS AFFILIATES, BE LIABLE FOR ANY SPECIAL, PUNITIVE, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, LOSS OF BUSINESS OR OTHER LOSS (INCLUDING SUBSTITUTION OF SERVICES) ARISING OUT OF OR RELATING TO THESE TERMS OR ANY THIRD PARTY SERVICES DELIVERED IN CONNECTION HEREWITH EVEN IF PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER SUCH LIABILITY ARISES OUT OF CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR ANY OTHER THEORY OF LEGAL LIABILITY; AND IN NO EVENT SHALL THE COMPANY’S TOTAL LIABILITY TO THE USER ARISING OUT OF OR AS A RESULT OF OUR SERVICE EXCEED INR 5,000 (INDIAN RUPEES FIVE THOUSAND ONLY) OR VALUE OF GAME CONTENT OWNED BY THE USER, WHICHEVER IS LESSOR.

  14. Intellectual Property Rights

    • Company owns all trademarks including but not limited to the brand logo, Game Content or other service marks belonging to the Company, and/or its Partners, assigns, copyright, patent and all other intellectual property rights in this Platform and Services and content thereof (“Intellectual Property”), other than User Information. Except as expressly provided under these Terms, nothing contained in this Paragraph shall be construed as conferring any license or right with regards to the Company’s Intellectual Property. No materials available on the Platform may be used, stored, transmitted by any means (including but not limited to electronic, mechanical, scanning, photocopying or recording) without prior written permission of the Company. The Company makes no representations or warranties that any use of the information contained on this Platform will not infringe any such Intellectual Property right of any third party.
    • The User acknowledges and agrees that User does not hold any proprietary rights or ownership interest in any Game Content. These Game Contents are licensed to the Users under a limited, non-exclusive, and transferable license solely for the purpose of playing Virbhumi Game and there is no transfer of the Game Contents to the Users. Users may use these Game Contents only within the Virbhumi Game environment and for the intended purpose of Virbhumi Game and transferring the said license to other Users. This license does not permit Users to claim ownership of, or transfer any proprietary rights in, Game Contents. Any transfer of this license to others must comply with Our terms and conditions.
    • Any User Information which the Company collects and which it may use in an aggregated format is the Company’s property. The Company may use it, in its sole discretion and without any compensation to the User, for any legitimate purpose including without limitation the commercial sale thereof to third parties.
    • Other than as specified above, neither the Platform nor any of its contents may be modified or copied in whole or part in any form, including by framing, incorporation into other platforms or other publications, or be used to create any derivative work. No links to the Platform may be included in any other websites without Our prior written permission.
    • Other than as specified above, nothing on the Platform should be construed as granting any right or license. We do not guarantee that You have any right to use content available on the Platform that is owned by any third party, and that a third party's permission will not be required before You use such content. None of the contents may be changed, nor may any copyright or author attribution notice appearing on any of the contents be altered or removed, without Our permission.

  15. Confidentiality

    • User and the Company realize that some information received by Company from the User pursuant to the use of Platform and the Service, shall be confidential. It is therefore agreed that any information received by either party, and clearly designated in writing as "CONFIDENTIAL", at the time of transfer, shall not be disclosed by either party to any third party and shall not be used by either party for purposes other than those contemplated by these Terms and Privacy Policy.
    • Confidential Information shall not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the disclosing party; (ii) was known to the receiving party prior to its disclosure by the disclosing party without breach of any obligation owed to the disclosing party; (iii) is received from a third party without breach of any obligation owed to the disclosing party; or (iv) was independently developed by the receiving party.
    • Further, the Company reserves the right at all times to disclose any information, including User Information, when compelled to so by any applicable law, regulation, legal process or governmental request; however, the Company shall, if permissible, provide the User notice of the same.

  16. Third-party products and integrations

    The Company may through its Platform, provide links to third-party websites. The Company does not make any representations or warranties with respect to such third-party websites. Further, the Company is not responsible for the practices employed by these websites, applications, or services linked to or from the Services or Platform, including the information or content contained there. Such third-party websites are subject to that third party’s own rules, policies, and practices, and not the Company’s Terms.

  17. Modifications

    • These Terms are current as of the last updated date set forth above.
    • The Company may periodically change these Terms to keep pace with new technologies, industry practices, and regulatory requirements, among other reasons. While, the Company expects most such changes to be minor, the Company requests the Users periodically to review the changes

  18. Profanity Policy

    • Company is committed to a zero-tolerance policy towards hateful, offensive, vulgar, rude, inappropriate threatening and abusive language or behaviour (“Profane Content”) and the Company does not permit such Profane Content to be displayed in the Platform, including with respect to:
      • User names;
      • Feedback module;
      • Any information or documents uploaded by the User;
      • Any other part of the Platform which can be accessed by public or any User.
    • Any such action will be dealt in the following manner:
      • Take any legal actions available to the Company against the User, based on any complaints received by the User, including criminal actions; and/or
      • Remove Profane Content from the Platform, suo-moto or based on any received complaint; and/or
      • Suspension or termination of the User’s Account.

  20. Grievance Redressal

    • Any complaints with regards to use, of Platform may be taken up with the grievance officer appointed by Company (“Grievance Officer”). The details of the Grievance Officer are as follows:

    • The Grievance Officer shall acknowledge the complaint within twenty-four hours and dispose off such complaint within a period of fifteen days from the date of its receipt.

  21. Opting Out

    • The Company may send periodic promotional or informational emails to Users in accordance with their communications preferences. At any time, Users may opt out of such communications by following the opt-out instructions contained in the email. Please note that it may take up to thirty (30) business days for the Company to process opt-out requests
    • Please note that, even after the User opts out from receiving marketing messages from Us, the User may continue to receive transactional and product-related messages.

  22. Force Majeure

    Notwithstanding anything to the contrary contained herein, neither party shall be liable for any delays or failures in performance resulting from acts beyond its reasonable control including, without limitation, acts of God, acts of war or terrorism, shortage of supply, pandemics, lockdowns, breakdowns or malfunctions, interruptions or malfunction of computer facilities, or loss of data due to power failures or mechanical difficulties with information storage or retrieval systems, labour difficulties or civil unrest. Notwithstanding the foregoing, in the event of such an occurrence, each party agrees to make a good faith effort to perform its obligations hereunder and to take efforts to mitigate the effect of a force majeure event.

  23. Governing Law

    • These Terms shall be governed by and construed in accordance with the laws of India and the Parties agree that they are bound by the laws of India for the purposes of these Terms and the Services. The Parties agree that the Company shall not be required to follow laws of any other jurisdiction, whether or not such User belongs to a different jurisdiction other than India.
    • Parties shall try to resolve any dispute arising out of or in relation to these Terms by mutual discussions, failing which the same shall be submitted to arbitration under the provisions of the Arbitration and Conciliation Act, 1996. The place of arbitration shall be Mumbai and the language of arbitration, English. Subject to the foregoing, the courts at Mumbai, India shall have exclusive jurisdiction.
